Dear Mr. Wilkinson;
The County has received and reviewed your letter dated September 13, 2017 regarding the
payment of allocation fees for the above referenced project. The County is in agreement with the
reason you have provided as your request for a deferral of payment for the allocation fees. The
County's conditions of granting this deferral are that payment in full must occur prior to the following:
1. The Division of Environment Management and its respective Departments will not sign off the
site plan.
2. No permits will be issued for the building permit applications) made for this property.
Once the County has received acceptance of the above referenced conditions of payment deferral
by the property owner signing off the approval statement below and returning it to my attention, the
County will begin processing building application(s) for this project. Because the property owner is
responsible for payment of the allocation fees, we are asking for his signature or documentation that an
agent can sign on his behalf to accept these conditions. A pdf of the signed letter will be acceptable to
begin the application permit process; however, an original is still required to maintain that review
process.

AGREEMENT FOR SEWER CONSTRUCTION
Hopewell Station
THIS AGREEMENT FOR SEWER CONSTRUCTION (Agreement) is made this _ 10 day
of _L1. 2017, by and between HOPEWELL LANDING, LLC, C/E HOPEWELL MANOR
ASSOCIATES, LLLP, and HOPEWELL MANOR II, LLLP (collectively, Owners) and the BOARD
OF COUNTY COMMISSIONERS OF WASHINGTON COUNTY, MARYLAND, a body corporate
and politic and a political subdivision of the State of Maryland (County).
RECITALS
A. HOPEWELL LANDING, LLC is seeking Site Plan approval for a multi -family
residential development project (Development) commonly known as Hopewell Station to be located
on real property owned by HOPEWELL LANDING, LLC which consists of two parcels of land
(Development Lana) identified as:
+/- 7.00 acres located to the northwest of Hopewell Road in Washington
County, Maryland as described in that Deed dated May 31, 2005 and recorded
among the Land Records of Washington County, Maryland at Liber 2680, folio
504, and being shown on Washington County Tax Map 48, Grid 16, Parcel
030; Tax I.D. #02-011468.
2. +/- 1.48 acres located to the northwest of Hopewell Road in Washington
County, Maryland as described in that Deed dated May 31, 2005 and recorded
among the Land Records of Washington County, Maryland at Liber 2680, folio
504, and being shown on Washington County Tax Map 48, Grid 16, Parcel
594; Tax I.D. #02-011476.
B. HOPEWELL MANOR II, LLLP owns land adjacent to the Development Land
consisting of one (1) parcel of land (Parcel 792) identified as:
1. +/- 6.20 acres located to the northwest of Hopewell Road in Washington
County, Maryland as described in that Deed dated April 15, 1983 and recorded
among the Land Records of Washington County, Maryland at Liber 741, folio
894, and being shown on Washington County Tax Map 48, Grid 16, Parcel
792; Tax I.D. #02-016273.
C. C/E HOPEWELL MANOR ASSOCIATES, LLLP owns land adjacent to the
Development Land and Parcel 792 consisting of one (1) parcel of land (Parcel 525) identified as:.
1. +/- 6.37 acres located to the northwest of Hopewell Road in Washington
County, Maryland as described in that Deed dated February 11, 1985 and
recorded among the Land Records of Washington County, Maryland at Liber
779, folio 283, and being shown on Washington County Tax Map 48, Grid 16,
Parcel 525; Tax I.D. #02-007118.
E. Parcels 792 and 525 have previously been developed as a multi -family residential
development project commonly known as Hopewell Manor.
D. As part of the Site Plan application and the development process for Hopewell
Station, HOPEWELL LANDING, LLC intends to extend private sewer lines currently serving
Parcel 792 and Parcel 525 to provide sewer service to the Development Land.
E. The County's Wastewater Policy provides that all new construction projects within the
boundaries of a sanitary sub -district are required to discharge wastewater into the public sewer by a
direct connection to the sub -district's sewer system. The County does not generally allow the
extension of the private portions of a sewer line from new construction to cross the real property of
another when making the connection to the sub -district's sewer system. However, the County does
provide an exception to its general policy when all relevant parties enter an agreement indicating the
duties and obligations concerning ownership and upgrading of the private sewer lines.
F. For purposes of aiding in the approval processes of the County related to the Site Plan
and other approvals, the parties have agreed to the term and conditions of this Agreement.
NOW, THEREFORE, in consideration of the covenants, conditions and agreements,
hereinafter expressed, the parties agree as follows:
1. Approval of Sewer Connection.
The County will approve the extension of the private sewer lines currently serving
Parcel 792 and Parcel 525 to provide sewer service to the Development Land. Owners will be

permitted to connect the sewer lines intended to serve the Development Land to the sewer lines
serving Parcel 792 and Parcel 525. The connection of the sewer lines intended to serve the
Development Land to the sewer lines serving Parcel 792 and Parcel 525 shall be deemed the direct
connection of the Development Land to the County's sub -district sewer system in accordance with
the County's Wastewater Policy.
2. Change of Ownership.
A. As part of the financing arrangements expected for the construction of the
Development Land and the rehabilitation of Hopewell Manor on Parcel 792 and Parcel
525, ownership of the properties is expected to change to:
(1) Development Land: To be owned by Hopewell Station, LLC with
Pax Edwards, LLC as the managing member.
(2) Parcel 792 and Parcel 525: To be owned by Hopewell Manor, LLC with Pax
Edwards, LLC as the managing member.
B. So long as ownership of the Development Land, Parcel 792 and Parcel 525 remains
with the current Owners or is owned as indicated in Section 2.A. above, the owners shall be permitted
to operate the extension of the private sewer lines currently serving Parcel 792 and Parcel 525 and the
extension of the lines to serve the Development Lands as constructed.
C. Unless otherwise indicated herein, upon the sale or transfer of any of the parcels noted
in this Agreement to any person or entity unrelated to the Owners or in contravention of the
ownership structure indicated in Section 2.A. above, then the private sewer lines on and within
Parcels 792 and 525 shall be upgraded, modified, or otherwise reconstructed to meet the County's
standards for sewer line construction. However, the requirements of this Section 2.C. shall not apply
if the sewer lines on and within Parcels 792 and 525 are determined to have been originally
constructed to meet the County's standards for sewer line construction at the time of original
construction.

D. For purposes of this Section 2, the transfer or sale of all of the parcels to: (1) a single
owner, whether related or unrelated to the current Owners; (2) to Pax Edwards, LLC; or (3) to any
entity of which Pax Edwards, LLC is an owner and managing member/limited partner shall not be
considered a sale or transfer that requires the upgrade, modification, or reconstruction indicated in
Section 2.C. and all terms of this Agreement shall continue for the benefit of the County and the new
single owner.
3. Interpretation.
Unless otherwise indicated herein, nothing in this Agreement shall be interpreted as
exempting Owners from compliance with the laws, ordinances, regulations, and policies of the
County or the State. Unless otherwise indicated herein, nothing in this Agreement shall be
interpreted as exempting Owner from the obligation to pay all applicable State and County fees
normally charged for proposed development.
4. Acknowledr-ment_
Owners agree and acknowledge that this Agreement relates only to the Development. Owner
understands and acknowledges that there may be further obligations associated with the Development
that may require mitigation pursuant to the APFO which shall be governed by separate agreement.
Further, any such costs, fees and expenses associated with water/sewer construction, road
construction, or any other obligation under the APFO or other County ordinances or policies are
separate and distinct from any costs, fees and expenses discussed herein.
5. Future Obliffations.
This Agreement releases Owners from the general obligation found in the County's
Wastewater Policy which provides that all new construction within the boundaries of a sanitary sub
district is required to discharge wastewater into the public sewer by a direct connection to the sub -
district's sewer system. This Agreement relates only to SP -17-012 currently under consideration by

the County's Department of Planning & Zoning. Any modification to the type of dwelling units
ki.e. multi -family) contained in the Development shall require an amendment to this Agreement.
b. Assignment.
This Agreement shall not be assignable and transferable by Owners to any individual,
company, group, corporation, or other entity that purchases the real property noted herein or the
Development from any of the Owners or otherwise becomes responsible for construction of the
Development, without the prior written approval and consent of the County, which consent shall not
be unreasonably withheld. Any Owner seeking an assignment or transfer shall request consent of the
County in writing. The County shall respond in writing within sixty (60) days of the date the request
is received by the County with the County's response being timely if it is personally delivered or
placed with the United States Postal service on or before the 60d' day as contemplated herein. If the
County's response is not timely, then the Owner's request will be deemed to be approved.
7. Notice.
All notices and correspondence under or regarding this Agreement or any provisions hereof
shall be in writing and shall be hand -delivered or sent postage prepaid by either (i) United States
mail, certified, return receipt requested, or (ii) for delivery the next business day with a nationally
recognized express courier:

8. Laws of Maryland.
This Agreement was made and entered into in the State of Maryland and is to be governed by
and construed under the laws of the State of Maryland.
9. Recitals.
The Recitals are hereby incorporated into this Agreement as substantive provisions.
10. Entire Agreement: Modification.
This Agreement constitutes the entire agreement and understanding of the parties. There are
no other promises or other agreements, oral or written, express or implied between the parties other
than as set forth in this Agreement. No change or modification of, or waiver under, this Agreement
shall be valid unless it is in writing and signed by authorized representatives of the Owner and the
County.
11. Severability.
If any provision of this Agreement shall be determined to be invalid or unenforceable, the
remaining provisions of this Agreement shall not be affected thereby, and every provision of this
Agreement shall remain in full force and effect and enforceable to the fullest extent permitted by law.
12. Waiver.
Neither party's waiver of the other's breach of any term, covenant or condition contained in
this Agreement shall be deemed to be a waiver of any subsequent breach of the same or any other
term, covenant or condition in this Agreement.
13. Survival.
The covenants contained herein or liabilities accrued under this Agreement which, by their
terms, require their performance after the expiration or termination of this Agreement shall be
enforceable notwithstanding the expiration or other termination of this Agreement.

14. Counterparts/Execution.
This Agreement may be executed in one or more counterparts, each of which shall be deemed
an original, but all of which together shall constitute one and the same instrument. A facsimile or
photocopy of a signature of a party shall constitute an original signature, fully binding the party for
all purposes.
15. Headings.
The headings herein are inserted only as a matter of convenience and do not in any way
define, limit, construe or describe the scope of intent of this Agreement.
16. Successors Bound:
This Agreement shall be binding on and shall inure to the benefit of the successors, assigns,
heirs and legal representatives of the parties hereto.
