ANTIETAM BATTLEFIELD ADVISORY COMMITTEE BYLAWS
ARTICLE ONE
NAME
The name of the committee shall be the “ANTIETAM BATTLEFIELD ADVISORY
COMMITTEE.”
ARTICLE TWO
PRINCIPAL OFFICE
The principal office of the Committee shall be 100 W. Washington Street,
Hagerstown, Maryland 21740. The principal meeting place of the Committee shall be
the National Park Headquarters at the Antietam Battlefield.
ARTICLE THREE
PURPOSES
The Committee is formed to:
A. Serve in an advisory capacity to the National Park Service managing the
Antietam Battlefield relating to all aspects of the Antietam Battlefield;
B. Improve communication between the National Park Service managing the
Antietam Battlefield and the local community;
C. Communicate to the Board of County Commissioners of Washington
County any concerns the committee may have regarding the Antietam Battlefield; and
D. Perform such other functions at the direction and upon the request of the
Board of County Commissioners of Washington County as necessary.
ARTICLE FOUR
MEMBERSHIP
A. The Committee shall consist of ten (10) voting members who shall be
appointed by the Board of County Commissioners of Washington County, Maryland, at
least one of whom shall be a resident of the Town of Sharpsburg. In addition to the ten
(10) voting members, the Board of County Commissioners of Washington County,
Maryland, may appoint others to serve as non-voting, ex officio members of the
Committee for terms of office as deemed advisable by the Board.
B. The original term of three (3) members shall be for one (1) year; the original
term of three (3) of the members shall be for two (2) years; and the original term of three
(4) additional members shall be for three (3) years. Subsequent terms of all members shall
be for three (3) years. Members of the Committee shall be eligible for reappointment for
one (1) term only, and, following the second consecutive three (3) year term, shall be
eligible for reappointment only following an intervening three (3) year period.

C. Vacancies occurring on the Committee for any reason shall be filled for the
unexpired term by the Board of County Commissioners. The Board of County
Commissioners shall have the authority to remove any members of the Committee
when in its discretion the best interests of the community shall be served thereby. A
vacancy shall occur in the Committee when the member has three (3) unexcused
absences per year.
ARTICLE FIVE
OFFICERS
A. Elective Officers. The elective officers of the Committee shall be a Chair,
Vice-Chair, and a Secretary. Other offices and officers may be established and
appointed by the members of the Committee at the regular annual meeting. No member
may hold more than one office.
B. Terms. The Chair, Vice-Chair, and Secretary shall take office immediately
upon their election and shall serve for a term of three (3) years or until their term
expires. Officers are eligible for re-election. Vacancies in any office must be filled for the
balance of the term of such office by the Committee at a special meeting.
C. Chair. The Chair shall be the chief officer of the organization, and shall be
present at meetings of the Committee. The Chair shall be a member ex officio of all
committees. The Chair shall communicate to the Committee such matters and make
such suggestions as may in the Chair’s opinion tend to promote the welfare and
increase the usefulness of the Committee, and shall perform such other duties as are
necessarily incident to the office.
D. Vice-Chair. The Vice-Chair shall perform all duties of the Chair during
the absence of the Chair. The Vice-Chair shall be a member ex officio of all committees.
E. Secretary. The administration and management of the Committee shall be
vested in the Secretary. The Secretary shall direct the activities of the Committee and
perform such other duties as may be defined by the Committee. It shall be the duty of
the Secretary:
(1) To give notice of and attend all meetings of the Committee and all
subcommittees and to make provision for the keeping of a record of proceedings;
(2) To conduct correspondence and to carry into execution all orders,
votes, and resolutions not otherwise committed;
(3) To keep a list of the members of the Committee;
(4) To keep records of any agents retained by the Committee, and take
charge of and supervise the performance by such agents of their duties;
(5) To prepare an annual report of the transactions and condition of
the Committee, and generally act in the best interests of the Committee.

ARTICLE SIX
MEETINGS
A. Annual Meeting. There shall be an annual meeting of the Committee each
year in a month determined by the Committee for the election of officers, receipt of
reports, and the transaction of other business. Notice of such meetings issued by the
Secretary shall be sent to the last recorded address of each member of the Committee at
least one (1) week before the time appointed for the meeting.
B. Quorum. A majority of the active members of the Committee, when
present at any meeting, shall constitute a quorum, and in case there is less than this
number, the presiding officer may adjourn from time to time until a quorum is present.
C. Order of Business. The order of business at the annual meeting shall be as
follows:
(1) Call to order.
(2) Reading of minutes of previous meeting.
(3) Receiving communications.
(4) Reports of officers.
(5) Reports of committee heads.
(6) Unfinished business.
(7) New business.
(8) Election of officers.
(9) Adjournment.
The order of business may be altered or suspended at any meeting by a majority
vote of the members present. The usual parliamentary rules as laid down in the latest
edition of Robert’s Rules of Order shall govern when not in conflict with these bylaws.
D. Special Meetings. Special meetings of the Committee may be called at any
time by the Chair, and must be called at any time by the Chair, or in the Chair’s
absence, by the Vice-Chair or Secretary, on the written request of five (5) members of
the Committee, the request of the Board of County Commissioners of Washington
County, Maryland. One (1) week notice of any special meeting must be given to the
members of the Committee, and the notice must state the object of the meeting
ARTICLE SEVEN
AMENDMENTS
These bylaws may be amended, repealed, or altered, in whole or in part, by a
majority vote of the Committee at any meeting, and any such amendment, repeal, or
alteration shall become effective upon approval by the Board of County Commissioners
of Washington County.

ARTICLE EIGHT
DISSOLUTION
The Committee shall be dissolved and its affairs concluded by resolution of the
Board of County Commissioners of Washington County, Maryland.
ARTICLE NINE
DISTRIBUTION OF PROPERTY ON DISSOLUTION
In the event of dissolution, property owned by the Committee, if any, shall be
distributed to the Board of County Commissioners of Washington County, Maryland.

SUBJECT: 2016-2017 Property and Casualty Insurance Renewals

RECOMMENDED MOTION: Move to renew policies in place during policy year, i.e.
liability policies with Travelers Insurance Company, property and equipment
policies with Local Government Insurance Trust, and airport liability policy with
Global Aerospace.
REPORT-IN-BRIEF: Renewal quotes from insurance carriers are reflected on the
attached premium comparison and show a total increase of $27,020 over last year’s actual, a
2.5% increase for FY2017.
DISCUSSION: Due to ongoing successful efforts of AON, renewal quotes from
carriers were well within budgeted increases.
FISCAL IMPACT: Present insurance program renewal results a premium increase of
2.5%, well within the 8% budgeted increases.

ALTERNATIVES: Lapse of insurance policies and necessity for repeat of market bid.
