Hill, Sr. Members Absent (excused) Staff Present Corinne Guglielmini Keith McMunn Marlene N Benson 1. The Regular meeting was called to order by Chair Nicholas V. Hill, Sr. at 12:08 pm. 2. There were no public comments noted. 3. There was one change to the December 16, 2021, agenda. Remove Item 11— Executive Director's Evaluation plan. 4. A motion to approve the November minutes and correct the call to order from Chair Nicholas V. Hill, Sr. to Vice Chair Ronnie Brezler. Motion made to accept the minutes with the change was made by Mr. Beard, and it was seconded by Mr. Pool. Motion passed. 5. Mandy Merchant and Liz Richardson, CliftonLarsonAllen, LLP, presented the FY2021 audit of the Housing Authority of Washington County (HAWC) via ZOOM with no findings. There were no questions for the auditors. 6. The new bank signature cards were signed and will be taken to United Bank in the coming days for processing. 7. Debt reduction discussion was held. We have $2M in our money market account which can be designated to pay off the Monterey House loan of $600,000 of the USDA, or use it to pay off the loan for Tanglewood. Either of these options could take months to complete. A motion was made to pay off the debt to the USDA for Monterey House by Mr. Beard, and it was seconded by Mr. Pool. Motion passed. 8. Resolution 2022-01— Holiday Schedule 2022 with a motion to approve the Holiday Schedule 2022 was made by Mr. Beard, and it was seconded by Mr. Pool. Motion passed 9. Resolution 2022-02 — Fsoaru ivieeting Schedule 2022 with a motion to approve the Boarding Meeting Schedule for 2022 was made by Mr. Beard, and it was seconded by Mr. Pool. Motion passed. R:Administrative/Board Meeting Minutes/2022 10. Election of officers will be made at the Annual and Regular Board meeting scheduled for January 20, 2022 for HAWC and Washington County Housing Solutions. Motion made for the election of Board members as slated was made by Mr. Beard, and was seconded by Mr. Brezler. Motion passed. 11. Financial Report — • For the month of November 2021, net revenue for the month was under budget. The long awaited correction of HUD overpayment of Housing Assistance Payments occurred in this month with a reduction in funding that represented a transfer to HUD held reserves. This brings YTD net revenue through five months of operation under budget. We anticipate this budget variance turning favorable again by fiscal year end with the HUD reimbursement of the prior year port payment, the under budgeted increase in FM management fees and the contract rent increases at the time of HCV recertifications triggered by the increase in the HUD payment standards. Monthly expenditures are over budget due to the budgeted annualization of payroll costs expensed in November. The bottom line is November was a loss driven by the HAP correction to HUD funding this month. • Cash flow was unusually negative in November due to the loss from operations and the unreimbursed capital expenditures for the BME energy grant expected to be released in December and creating excess funds available for the transfer into our Money Market Fund. • Francis Murphy's (FM) revenue for the month is again at budgeted levels for the month of November. Year to date revenue is over budget through eleven months of the operation. YTD expenditures are under budget with maintenance costs accounting for much of this favorable variance. November's loss is favorable to the budgeted loss. The YTD loss continues to be favorable compared to the budget with one month remaining in the fiscal year. • A motion was made by Mr. Beard to accept the financial report with a second by Mr. Brezler. Motion passed. 12. Executive Director's Report — • Regarding page 7 of the HAWC report, we have reapplied for the Family Self Sufficiency (FSS) grant. HAWC has also received approximately $16,000 from the Western Maryland Consortium Re -hire grant. HAWC is planning on applying for an energy grant at School House Manor for new air handling units, low -flow water fixtures and refrigerators. The waitlist for HCV was closed in October 2021 so applications will drop significantly. • Due to the lack of inventory, HAWC asked HUD to allow 120 days to find a unit instead of 60 days. HAWC will update the administrative plan for the HCV department. • HAWC's most recent PIC score is 99.83%. • HAWC has received notification of a discrimination suit involving ADA, fair housing and the voucher program (HUD). This has been tendered for defense through our attorney by our insurance. • A motion was made by Mr. Beard to adjourn the Board meeting with a second by Mr. Pool. Motion passed. 13.
